By accessing or using any of the MYFIN POINT (“MYFIN POINT”) online facilities including, without limitation, www.myfinpoint.com, mobile applications, social media Platform and any other digital services or facilities operated or used by MYFIN POINT,the digital media platform of MYFIN GLOBAL FINANCE MEDIA PVT.LTD from time to time (collectively referred to as the “Platform”), you agree to comply with and be bound by these Terms of Use (“Terms of Use”).

THESE TERMS OF USE, TOGETHER WITH THE PRIVACY POLICY AVAILABLE AT www.myfinpoint.com/privacypolicy AND OTHER POLICIES WHICH MAY BE APPLICABLE TO SPECIFIC PORTIONS OF THIS PLATFORM CONSTITUTE THE TERMS OF YOUR ACCESS TO AND USAGE OF THE PLATFORM. BY CLICKING ON THE ‘I ACCEPT’ BUTTON AT THE END OF THIS PAGE OR ACCESSING OR USING THIS PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, THE PRIVACY POLICY AND OTHER POLICIES WHICH MAY BE APPLICABLE TO THIS PLATFORM. Subject to the Terms of Use, MYFIN POINT allows you to only access and make personal non-commercial use of the Platform. This Terms of Use constitute an electronic contract between [MYFIN POINT], the digital media platform of MYFIN GLOBAL FINANCE MEDIA PRIVATE LIMITED, an Indian Company with its registered office at 43/19,Trinity Tower, Chathanattu Road, Palarivattom, Kochi, Kerala, India -682025. (“MYFIN POINT, “We”, “OUR”) and you. The terms “you” and “your” in uppercase or lowercase shall mean the user of the Platform.

MYFIN POINT reserves the right to revise these Terms of Use at any time in its sole discretion by posting revised Terms of Use to the Platform. Your use of the Platform signifies your acceptance of all the terms and conditions contained within the Terms of Use posted at the time of your use. You will be responsible for regularly reviewing the Terms of Use posted to the Platform.

Eligibility to Use

Use of the Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872, including minors etc. are not eligible to use the Platform. The Platform shall also not be available to any Users suspended or removed from the system for any reason whatsoever. If you do not confirm to the above qualification, you shall not access the Platform or will not be permitted to use the Platform. By accessing and using this Platform, You represent that you are of legal age to form a binding contract in India. We reserve the right to terminate your registration and / or refuse to provide you with access to the Platform if it is brought to OUR notice or if it is discovered that you are under the age of 18 years. We reserve the right to refuse access to the Platform to new Users or to terminate access granted to existing Users at any time without according any reasons for doing so and You shall have no right to object to the same.

Fees & Charges

MYFIN POINT reserves the right, at any time, to charge fees for accessing whole or part of the Platform. If, at any time, you are required to pay fee for accessing any part of the Platform, you will be intimated about the same and you will be allowed to access such part of the Platform only upon payment of a fee (“Subscription Fee”) for a particular period specified at the time of subscription (“Subscription Period”). The Subscription Fee is non-refundable and during the Subscription Period, you are not required to pay any other charge towards subscription, unless there is a change in applicable tax.

Subscription Fee can be paid in any of the modes listed on the Platform from time to time. Your payment of Subscription Fee does not guarantee your subscription. MYFIN POINT reserves the right to reject your request for subscription without assigning any reason. Under such circumstances, the Subscription Fee will be repaid without any interest.

MYFIN POINT reserves the right to revise the Subscription Fee from time to time. MYFIN POINT, at its sole discretion, may allow you to renew the subscription after You may be allowed to renew the subscription after the expiry of the Subscription Period, upon payment of Subscription Fee prevalent at the time of renewal.

We may provide for payment links on Our Platform for payment of Subscription Fee .By clicking on such links, You shall be navigated to a third party payment aggregator’s website for processing the payment for the Services availed by You on the Platform. (“Third Party Payment Provider”)

These Third Party Payment Providers may include third party banking or credit card payment gateways, payment aggregators, mobile payment service providers as may be authorized by the Reserve Bank of India for collection of payment or supporting the same in any manner.

You may be required to enter details including Your Personal Information, debit card/credit card details, net banking or UPI details etc, for the payment on such Third Party Payment Providers’ website for processing of payment. The payment shall be processed subject to the policy and terms of use of such Third Party Payment Providers.

Any failure in payment, loss or theft of Personal Information or any other payment related issues shall be governed by the terms and conditions and privacy policy of such Third Party Payment Providers. You understand, accept and agree that the payment links provided by Us is neither a banking nor financial service but is merely a facilitator. We shall not in any manner be held responsible and that no liability whatsoever shall be attracted to MYFIN POINT for any failure by the Third Party Payment Providers.

Registration

You may be required to create an account as a part of the registration process to use the Platform. You will create a login credentials by choosing a password and providing an e-mail address or by linking another account, such as Google of Face Book accounts. You will be also required to provide certain information, during the registration process. You warranty that such information provided by you during the registration process is true, accurate, current, authorized, and complete in all aspect. If there is any change in the information provided by you, you shall update the same.

Unless otherwise expressly allowed, each registration is for a single user only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Platform, if you share your login credentials. You are responsible for maintaining the confidentiality of your password. You shall not use login credential of any other person without that person’s authorization. Failure to comply with the foregoing may result in immediate suspension or termination of your account. You shall notify MYFIN POINT immediately, if you have noticed any breach or unauthorized use of your account.

Proprietary Rights

The contents of the Platform including, without limitation, (i) MYFIN POINT’s trademarks, service marks, logos, brand names, trade names and other distinctive identification; and (ii) information, data, texts, materials, interfaces, computer code, databases, products, services, software applications and tools, text, images, photographs, audio and video material, including podcasts, and artwork, and (iii) the design, structure, selection, compilation, assembly, coordination, expression, functionalities, applications, look and feel, and arrangement of any content contained in or available through the Platform (the items identified in subsections (i) (ii) and (iii) shall be collectively referred to herein as “Contents”). The Contents are the property of MYFIN POINT or its licensors are protected under Indian laws including laws relating copyright, trademark and other intellectual property rights. You shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display (including framing and inline linking), communicate to the public or in any way exploit, any of the Contents in whole or in part. With respect to Contents that are judgments, orders, laws, regulations or articles, you may copy and download them for your personal and non-commercial use only, provided that you maintain all copyright and other notices contained therein.

User Obligations

You warrant that you shall not:

• violate any applicable local, state and central laws and regulations while using the Platform.

• provide in-complete, inaccurate, untrue or unauthorized information while submitting any information to the Platform .

• impersonate any person or entity, real or fictitious, while using the Platform;

• interfere with the use of the Platform by others or interfere with the operation of the Platform;

• use the Platform in any manner which unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, hateful, racial or otherwise objectionable;

• Upload, post or otherwise make available in the Platform any material, which infringe any third party intellectual property rights;

• Unless otherwise permitted, use the Platform for any promotional activities or advertisement purpose or to send unsolicited commination (including spams, bulk mails, messages, etc); and

• Upload, download, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

User Material

You may be allowed to provide your views, comments, feedback, opinion, articles, images, video or advertising materials on the Platform. You are solely responsible for the material you submit. You shall ensure that such material comply with applicable law and you are affirming that you alone created or own the materials submitted by you and no one else has any rights to it or could claim they own it or that it infringes on rights of others. MYFIN POINT does not approve, endorse, or adopt any material submitted by the others, and assumes no liability whatsoever. You will indemnify and hold harmless MYFIN POINT against all third party claims, demands and actions brought against MYFIN POINT, which arises from or relates to the materials submitted by you.

MYFIN POINT could use views, comments, feedback, opinion, articles, images, video etc. submitted by you for its internal and external purpose including for marketing; you understand and acknowledge that this information is available to the public and grant MYFIN POINT a nonexclusive license to display, reproduce, transmit, and modify such content. You understand that you won’t have the right to approve how we use such contents submitted by you.

The Platform and Contents are provided on “As is” and “As available” basis for information purpose. They do not constitute advice and should not be relied upon in making any decision. MYFIN POINT does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Platform. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at your sole risk.

The Platform may contain links to third-party website, resources, and advertisers (collectively, “Third Party Content”). MYFIN POINT does not control, endorse, sponsor, recommend or otherwise accept responsibility for any of this Third Party Content.

Certain parts of the Platform may contain material submitted by users. MYFIN POINT accepts no responsibility for the content, accuracy and conformity to applicable laws of such material.

MYFIN POINT does not warrant that the Content will remain unchanged or accessible on the Platform. MYFIN POINT reserves the right to alter, modify, discontinue or remove any Contents without notice.

MYFIN POINT does not make any express or implied representation or warranty of any kind, including without limitation, any representation or warranty that (I) the Platform or any Contents are complete, accurate, reliable or non-infringing; (ii) access to the Platform will be uninterrupted, timely, secure, or error free; (iii) the quality of any products, services, information or other material purchased or obtained by you through the Platform will meet your expectations. All warranties express or implied are disclaimed to the fullest extent permitted by law including, without limitation, any warranty of merchantability, fitness for a particular purpose, and/or non-infringement of intellectual property.

Data Protection and Privacy Policy

MYFIN POINT may send information and offer products and services to you from time to time. For information about MYFIN POINTs data protection practices and MYFIN POINT’s use and protection of your personal information, please read MYFIN POINT’s Privacy Policy, which is incorporated into and made a part of these Terms of Use.

Notwithstanding the foregoing, MYFIN POINT reserves the right to disclose any information submitted or collected from you in connection with any governmental, administrative, regulatory or judicial proceeding or as may be required under any law or regulation applicable to MYFIN POINT.

Termination

MYFIN POINT may, in its sole discretion, terminate or suspend your access to all or part of the Platform for any reason, including, without limitation, breach of any of the condition of these Terms of Use.

Governing Laws and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the republic of India. In the event of any dispute between the parties, such dispute shall be settled through arbitration through a single arbitrator appointed by MYFIN POINT in accordance with Arbitration & Conciliation Act of 1996 or any amendment or replacement thereof. The seat of arbitration shall be at Eranakulam and the language of arbitration shall be in English. Any award rendered pursuant to such arbitration shall be final and conclusive.

Subject to aforesaid, courts in Ernakulum shall have jurisdiction over this Terms of Use.

Notice of Copyright Infringement

If you believe that any Content on the Platform has been copied in a way that constitutes copyright infringement, please intimate use immediately with clear description of the copyrighted work that you claim has been infringed to the following e mail address: contact@myfinpoint.com.

Miscellaneous

• Our failure to enforce any provision of these Terms of Use or to respond to a breach by you shall not in any way constitute a waiver of our right to enforce subsequently any terms or conditions of these Terms of Use or to act with respect to similar breaches.

• Nothing in Terms of Use shall constitute any partnership or agency relationship between MYFIN POINT and you.

• If any provision of the Terms of Use is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms of Use will remain in full force and effect.

• MYFIN POINT shall have no liability to you for any interruption or delay, to access the Platform irrespective of the cause.

• MYFIN POINT makes no claims regarding access or use of the Platform Content outside India. If you use or access the Platform or Content outside India, you do so at your own risk and are responsible for compliance with the laws and regulations of your jurisdiction as well as these Terms of Use.
